Share Issues

You may wish to issue, re-classify or sub-divide shares. Company share capital can be altered to create different rights, which could be prompted for a variety of reasons, including: joint venture arrangements, a company re-organisation, for administrative purposes or for family succession planning.

When issuing shares it is important that the provisions of the company’s articles and the Companies Act 2006 are followed.

Our team of share solicitors can help you with:

  • Issuing new shares
  • Re-classification of shares
  • Sub-division of shares
  • Creation of a new class or classes of shares
  • Advice and assistance with rights attaching to particular classes of shares
  • Updating and reconstituting company books (statutory books)
  • Preparing PSC (persons with significant control) and RLE (relevant legal entity) registers
