About the deal

We acted for the client by advising the selling shareholders, including liaising with the company’s Australian lawyers and accountants to effect the sale. We advised on trust law in order to ensure the selling trusts had authority to sell their shares.

We negotiated a detailed share sale agreement and completion mechanism to ensure the deal remained executed and completed in Australia to avoid triggering UK taxes.

The team was able to negotiate complex overage documents, and associated security arrangements, and dealt with various farming rights associated with the land in connection with the sale in order
to give vacant possession.

How this assisted the client

Our client benefited from the strength of the relationship between our Corporate Team and Agriculture & Estates Team, who regularly work together on farming related transactions that involve both rural and corporate aspects.

Our collaborative, solution-focused approach meant we provided joined-up, practical advice, which was particularly crucial in providing ongoing protection for the overage arrangements, which were to be granted by the target company.
